What is an Independent Contractor Agreement?

An Independent Contractor Agreement is a legal contract that outlines the scope, payment schedule, and deadlines for freelance work. Signed by both the contractor and the client, this agreement can help to set expectations and reduce the risk of conflicts.

When can you use an Independent Contractor Agreement?

  • You will be completing services for a person or company on a project-to-project basis (i.e. as an independent contractor or freelancer).

  • You will be receiving services from an independent contractor.

  • Note: If you are hiring an employee (not an independent contractor) use an employment agreement instead.

What is an Employment Contract?

An Employment Contract serves as the binding document between employer and employee. Employment Contracts set out important terms of employment, and ensure that both parties understand what will be expected of them.

When to use an Employment Contract:

  • You are hiring a new employee and wish to specify the employee's compensation and summarize the terms of the employment agreement.

  • You are becoming an employee of an employer who will not otherwise be providing a written employment agreement.

  • You are an employer and wish to formalize a verbal employment agreement with your current employees.
